Terms of Service

1. Platform Description

FlexYard IOS, LLC ("FlexYard", "we", "us") operates an online marketplace that connects property owners ("Landlords") who have M-zoned outdoor yards with businesses ("Tenants") that need flexible industrial outdoor storage space. FlexYard is a technology platform — we do not own, manage, or operate any of the yards listed on the platform.

2. Marketplace — Not a Property Manager

FlexYard acts solely as an intermediary marketplace. We are not a party to any lease or rental agreement between Landlords and Tenants. FlexYard is not responsible for the condition, safety, legality, or suitability of any listed property. All disputes regarding a yard, lease, or tenancy are between the Landlord and Tenant directly.

3. Insurance Requirements

All Tenants are required to maintain general liability insurance and provide a valid Certificate of Insurance (COI) prior to accessing any yard. Minimum coverage requirements will be specified at the time of booking. FlexYard reserves the right to cancel any booking where valid COI cannot be verified.

Landlords are responsible for maintaining their own property and general liability insurance coverage for their listed yard(s).

4. Limitation of Liability

FlexYard IOS, LLC shall not be liable for any damages, losses, injuries, or claims arising from: (a) the condition or use of any yard listed on the platform; (b) actions or omissions of any Landlord or Tenant; (c) any dispute between a Landlord and Tenant; (d) loss of property, vehicles, or equipment stored at any yard.

To the maximum extent permitted by law, FlexYard's total liability to any user shall not exceed the platform fees collected from that user in the preceding 12 months.

5. Fees

FlexYard charges a 5% platform fee to Landlords, deducted from each payout. Tenants are charged a service fee of 12% (monthly leases) or 15% (daily/weekly leases) added to the base rent. Fees are only charged when a booking is completed — there are no monthly or listing fees.

Where applicable under NYC law, FlexYard collects and remits applicable parking or storage taxes on behalf of users.

6. Security Deposits

Security deposits collected by FlexYard are held in trust on behalf of the Landlord. Deposits are refunded to the Tenant following a satisfactory vacate inspection. FlexYard acts as a neutral third party in deposit disputes.

7. Zoning Compliance

Landlords are solely responsible for ensuring their property is properly zoned for the intended use (M1, M2, or M3 zoning or equivalent). FlexYard does not verify zoning compliance and is not liable for any violations arising from improper land use.

8. Governing Law

These Terms shall be governed by the laws of the State of New York. Any disputes shall be resolved in the courts of New York County, New York.
